01 Service Overview

SpeakCoach.ai is an AI-powered speaking coach platform designed to help users improve pronunciation, fluency, clarity, confidence, delivery, and real-world speaking performance.

Depending on the product experience, SpeakCoach.ai may offer features such as:

• AI speaking coach conversations
• Pronunciation practice and real-time voice feedback
• Fluency and confidence training
• Interview rehearsal and presentation practice
• Role-play and scenario-based speaking sessions
• Speech analysis, scoring, and personalized feedback
• Progress tracking and performance dashboards
• Multilingual speaking practice across 30+ languages
• AI-generated speaking progress records or certificates
• Institution, team, or education access pathways

02 Eligibility and Accounts

2.1 Eligibility

You may use the Services only if you are legally able to enter into a binding agreement under the laws that apply to you.

2.2 Account Registration

Some features require an account. You agree to provide accurate, current, and complete registration information and to keep that information updated.

2.3 Account Security

You are responsible for safeguarding your login credentials and for all activities that occur under your account.

2.4 Unauthorized Use

You must notify us promptly if you suspect unauthorized access to your account or a security breach.

2.5 Account Transfers and Seat Reassignment

Where your plan or program allows it, SpeakCoach may permit seat reassignment, family or team transfers, or institutional seat management. Any reassigned or transferred user must accept these Terms. Until reassignment is completed in accordance with our process, the original account holder or purchasing entity remains responsible for the account.

2.6 Suspension

We may suspend, restrict, or terminate accounts that violate these Terms, applicable law, or platform safety rules.

03 Direct Users, Teams, Schools, and Partner Access

3.1 Service Pathways

SpeakCoach.ai may be provided through different commercial pathways:

• Direct-to-Consumer (D2C): You purchase access directly from SpeakCoach.ai.
• Institutional / Team / Partner Access: You receive access through a school, business, organization, training provider, language program, education partner, or similar third party (the "Institution").

3.2 Contracting Relationship

If you receive access through an Institution, your payment, refund, support, or service-scope relationship may primarily be with that Institution rather than directly with SpeakCoach.ai.

Unless expressly stated otherwise, SpeakCoach.ai is not responsible for separate promises, representations, bundles, discounts, or commercial commitments made by an Institution.

3.3 Institutional Support and Refunds

For institutional or partner-provided access, first-line support, onboarding, cancellation handling, and refund handling may be provided by the Institution under its own policies. SpeakCoach.ai may provide second-line technical support for platform issues.

3.4 Data Roles

In many institutional deployments, the Institution may act as the independent controller of its end-user data, while SpeakCoach.ai acts as a processor or service provider for the purpose of delivering the Services. We may offer a data processing addendum where appropriate.

3.5 No Accreditation Guarantee

SpeakCoach.ai does not grant academic credit, government-recognized licensing, university degrees, or regulated certification unless expressly stated in a separate written agreement.

04 Minors, Teen Use, and Safety Features

SpeakCoach.ai may make available youth, teen, or safety-oriented product settings designed to help create a more age-appropriate experience.

If a minor uses the Services:

• Parents, guardians, schools, or institutions remain responsible for supervision.
• Age-appropriate settings should be configured where available.
• Minors should be instructed not to share sensitive personal information in practice sessions.

AI systems may still make mistakes. Safety settings reduce risk but do not eliminate it entirely.

If you are under the minimum age required by applicable law to use the Services independently, you may use the Services only with the involvement or permission of a parent, guardian, school, or other authorized adult where required.

05 Acceptable Use

You agree not to use the Services to:

• Violate any law or regulation
• Infringe intellectual property, privacy, publicity, or other legal rights
• Upload, submit, or distribute unlawful, defamatory, abusive, harassing, threatening, hateful, deceptive, or harmful content
• Impersonate another person or falsely suggest affiliation, endorsement, or authority
• Exploit, scrape, crawl, reverse engineer, copy, republish, extract, or benchmark the Services or underlying systems except where expressly permitted by law
• Interfere with platform security, integrity, or performance
• Bypass access limits, subscription rules, rate limits, seat limits, or usage restrictions
• Upload malware, spyware, malicious code, or harmful files
• Use the Services to generate or facilitate fraud, scams, disinformation, or deceptive commercial conduct
• Use automated methods to create accounts or abuse free trials
• Submit confidential, regulated, or highly sensitive information unless your plan expressly permits and supports that use case

Institutional administrators are responsible for making reasonable efforts to ensure their end users comply with these Terms.

06 Your Inputs, AI Outputs, and Practice Data

6.1 Definitions

"Inputs" means any prompts, voice recordings, audio submissions, text, transcripts, files, practice materials, corrections, feedback requests, or other content you submit to the Services.

"Outputs" means AI-generated or system-generated responses, coaching feedback, scores, suggestions, transcripts, recommendations, practice prompts, reports, or other materials returned by the Services.

Together, Inputs and Outputs may be referred to as "User Content."

6.2 Ownership of Inputs

You retain any intellectual property rights you have in your Inputs.

6.3 Ownership and Nature of Outputs

Subject to applicable law and third-party rights, you may use Outputs returned to you through the Services. However, because AI systems generate content based on patterns and probabilities, similar or identical outputs may also be generated for other users. Outputs are generated by automated systems and may not be unique.

6.4 License to SpeakCoach.ai

You grant SpeakCoach.ai a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, reproduce, process, adapt, transmit, display, and use your User Content solely as necessary to:

• Provide and operate the Services
• Deliver speaking practice, scoring, corrections, and coaching
• Maintain service quality
• Improve safety, fraud prevention, reliability, and technical performance
• Comply with law, regulation, enforcement requests, and legal obligations
• Enforce these Terms and our policies

If you require stricter handling terms, restricted processing terms, or enterprise controls, those must be agreed in a separate written agreement.

6.5 Your Responsibility

You are responsible for your Inputs, including their legality, accuracy, permissions, and appropriateness. Do not upload information that you do not have the right to submit.

6.6 AI Limitations

07 Certificates, Scores, and Educational Use

SpeakCoach.ai may provide speaking scores, progress dashboards, fluency indicators, pronunciation scores, session summaries, completion records, or AI Language Certificates.

Unless expressly stated otherwise in writing:

• Such scores and certificates are platform-generated educational or training tools
• They do not guarantee job performance, test outcomes, immigration eligibility, admission decisions, or professional competence
• They are not government-issued credentials
• They are not academic accreditation or regulated certification

Institutions using such features remain responsible for deciding how, if at all, those records are used in their own programs.

08 Intellectual Property

The Services, including all software, models, design elements, UI, graphics, branding, trademarks, logos, text, site structure, audio, video, lesson architecture, prompts, selection and arrangement of content, and underlying technology, are owned by SpeakCoach.ai or its licensors and are protected by intellectual property laws.

Except as expressly allowed by these Terms or by law, you may not:

• Copy, modify, distribute, sell, lease, sublicense, or publicly display the Services
• Create derivative works from the Services
• Remove proprietary notices
• Use our branding, logos, or trademarks without prior written consent

09 Free Access, Paid Plans, Billing, and Renewals

9.1 Free Access

We may offer limited free access, free practice, free trials, or promotional usage. Free features may change or end at any time.

9.2 Paid Plans

Some features require payment, including subscriptions, credit bundles, one-time purchases, institutional licenses, or premium plans.

9.3 Billing Authorization

When you purchase a paid plan, you authorize us or our payment partners to charge the applicable fees, taxes, and related charges using your selected payment method.

9.4 Auto-Renewal

Unless otherwise stated, subscriptions renew automatically at the end of each billing cycle until canceled.

9.5 Cancellation

You may cancel renewal at any time through your account settings, your app-store subscription controls, your billing provider, or other cancellation path we make available. Cancellation stops future renewal charges but does not retroactively refund the current billing period unless required by law or expressly stated in our refund rules.

9.6 Price Changes

We may change prices for future billing periods. Where required by law, we will provide notice before a price change takes effect.

9.7 Plan Scope

Feature access may vary by plan, billing channel, region, app store, institution, or promotion.

10 Cancellations, Refunds, and Taxes

10.1 Direct Purchases

For direct purchases from SpeakCoach.ai, refunds are handled according to the purchase terms shown at checkout, our refund policy, and applicable law.

Unless otherwise required by law or expressly stated at checkout:

• First-time purchases may be eligible for limited refund review within a short initial period
• Renewals are generally non-refundable after processing
• Substantial usage, content consumption, generation activity, or benefit use may reduce or eliminate refund eligibility

10.2 Institutional Purchases

If your access was purchased through an Institution, partner, reseller, school, or team administrator, refund responsibility usually belongs to that Institution or seller unless applicable law requires otherwise.

10.3 App Store Purchases

If you purchased through an app store or external billing platform, refunds and cancellation handling may also be subject to that provider's policies.

10.4 Taxes

Prices may exclude taxes unless stated otherwise. You are responsible for applicable taxes, duties, levies, exchange fees, or bank charges associated with your purchase.

11 Payment Providers, App Stores, and Third-Party Billing

We may use third-party payment processors, merchant-of-record providers, checkout providers, app stores, fraud-prevention tools, and billing infrastructure to process purchases and renewals.

Your use of those providers may also be governed by their separate terms and privacy policies.

We are not responsible for errors, interruptions, or policy decisions made exclusively by third-party billing channels, except to the extent required by law.

12 Privacy and Data Handling

Your use of the Services is also subject to our Privacy Policy.

By using SpeakCoach.ai, you acknowledge that:

• We may process account data, technical data, usage data, speaking-practice data, transcripts, and support communications as described in our Privacy Policy
• Voice and text submissions may be processed to provide coaching, scoring, analysis, quality control, fraud prevention, support, and service improvement
• Institutional users may also be subject to their Institution's privacy notices and internal policies

13 Third-Party Links and Integrations

The Services may contain links to third-party websites, tools, content, login providers, payment channels, embedded media, integrations, or services.

We do not control and are not responsible for third-party services, content, availability, or privacy practices. Your use of third-party services is at your own risk and subject to their own terms.

14 Service Availability, Changes, and Beta Features

We may add, remove, improve, suspend, or modify features at any time.

We do not guarantee that all features, languages, coaches, scores, reports, integrations, certificates, or voice tools will always remain available in every region, on every device, or under every plan.

From time to time, we may offer beta, preview, early-access, experimental, or test features. Those features may be incomplete, unstable, changed, or discontinued at any time.

15 Disclaimers

SpeakCoach.ai disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted service.

We do not guarantee that:

• The Services will always be secure, uninterrupted, or error-free
• Voice recognition or speaking analysis will be perfect
• AI outputs will always be accurate or appropriate
• A user will improve at any specific speed
• A certificate, score, or practice record will be accepted by any school, employer, agency, or third party
• The Services will meet every learner's expectations or business need

16 Limitation of Liability

To the fullest extent permitted by law, SpeakCoach.ai, WINDVALE LLC, and their affiliates, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including damages for:

• Loss of revenue or data
• Business interruption
• Reputational harm
• Procurement of substitute services
• Personal decisions made in reliance on AI outputs
• Educational, employment, or commercial consequences of using or not using the Services

To the fullest extent permitted by law, our aggregate liability for all claims arising out of or related to the Services shall not exceed the greater of:

(a) the total amount you paid directly to SpeakCoach.ai for the Services in the twelve (12) months before the event giving rise to the claim; or

(b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you to the extent prohibited by law.

17 Indemnification

You agree to defend, indemnify, and hold harmless SpeakCoach.ai, WINDVALE LLC, and their affiliates, officers, personnel, contractors, licensors, and agents from and against claims, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:

• Your use or misuse of the Services
• Your Inputs or other User Content
• Your violation of these Terms
• Your violation of law or third-party rights
• Disputes between you and an Institution, reseller, client, or other third party related to your use of the Services

18 Suspension and Termination

You may stop using the Services at any time.

We may suspend, restrict, or terminate your access immediately or later if:

• You violate these Terms or our policies
• Your use creates legal, fraud, abuse, or security risk
• Payment fails or is reversed
• We are required to do so by law, court order, regulator, app store, payment provider, or enforcement authority
• An institutional or team administrator removes your access under their plan

Upon termination, your right to use the Services ends immediately, except for provisions that by their nature survive termination, including intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions.

19 Governing Law and Venue

These Terms are governed by the laws of the United States and the State of Wyoming, without regard to conflict-of-law rules.

Unless otherwise required by applicable law, any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction and venue.

Nothing in these Terms limits any non-waivable consumer rights that apply under the law of your country or state of residence.

20 Changes to These Terms

We may update these Terms from time to time to reflect changes in the Services, law, business practices, product design, safety requirements, or billing structure.

When material changes are made, we may provide notice by posting the updated Terms, updating the "Last Updated" date, sending an email, displaying an in-product notice, or using another reasonable method.

Your continued use of the Services after the effective date of the updated Terms means you accept the revised Terms, to the extent permitted by law.

21 Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

These Terms, together with our Privacy Policy and any additional policies or plan-specific terms presented to you, form the entire agreement between you and SpeakCoach.ai regarding the Services, unless a separate written agreement states otherwise.

We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, reorganization, asset sale, financing, or by operation of law.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

Headings are for convenience only and do not affect interpretation.
